Terms of Service
Terms governing strategy, creative, advertising management and media distribution services provided by Tenfold Distribution LLC.

1. Engagement and scope
Services are provided under a written proposal, statement of work or insertion order identifying scope, fees, term and deliverables. If those documents conflict with these terms, the signed engagement document controls.
The client will provide timely access to accounts, assets, approvals and accurate business information. Delays in access or approval may alter delivery dates and campaign performance.
2. Fees and media spend
Management, strategy, production and platform fees are invoiced as stated in the engagement. Advertising media spend is separate unless expressly included and may be paid directly to platforms or funded in advance.
Invoices are payable in US dollars by the stated due date. Late balances may pause campaign activity and may accrue the maximum lawful interest.
3. Performance and approvals
Advertising performance depends on market conditions, platform systems, budgets, offers, websites and other factors outside our control. Forecasts and illustrative metrics are not guarantees of revenue, return on ad spend or any other result.
The client remains responsible for approving claims, offers, landing pages and regulated-industry disclosures, and warrants that supplied materials and instructions comply with applicable law and platform rules.
4. Intellectual property and accounts
Each party retains its pre-existing intellectual property. On full payment, the client receives the usage rights identified in the applicable engagement. Tenfold retains its methods, templates, know-how and anonymised learnings.
Platform accounts remain subject to each platform's terms. Tenfold is not responsible for platform outages, policy changes, account restrictions or third-party data loss beyond its reasonable control.
5. Confidentiality and data
Each party will protect non-public business, campaign and customer information using reasonable safeguards and use it only to perform the engagement. Processing of personal information is described in our Privacy Policy.
6. Liability and law
To the maximum extent permitted by law, neither party is liable for indirect, special, incidental or consequential loss. Tenfold's aggregate liability is limited to fees paid for the services giving rise to the claim during the preceding three months.
